September 21: ESG & Corporate Governance: Principles, Compliance, and Impact in DIFC

This two-hour training module provides an overview of ESG and corporate governance within the DIFC framework. It covers the foundational principles, exploring the Board's role in fostering compliance culture, the core tenets of oversight and transparency, and the three pillars of ESG. It addresses the shift from voluntary CSR to mandatory sustainability disclosure and specific DIFC obligations. It also examines the tangible consequences of non-compliance, detailing potential penalties from DIFC, including fines and public censure, alongside the significant reputational and legal risks of ESG failures

Module 1: Intro to Corporate Governance & ESG in DIFC

  • Learning Objectives:
    • Explain the primary responsibility of the Board in setting governance and compliance culture.
    • Understand the core principles of corporate governance: oversight, accountability, and transparency.
    • Define the three pillars of ESG (Environmental, Social, and Governance) with concrete business examples.
    • Articulate at least two market-driven reasons for integrating sustainable practices.
    • Recognize the shift from voluntary corporate social responsibility to mandatory, compliance-driven sustainability disclosure.
    • Understand the obligations under DIFC regarding material non-financial matters.

Module 2: Consequences of Non-Compliance

  • Learning Objectives:
    • Recognize the range of potential penalties for non-compliance within the DIFC, including fines, public censure, and business restrictions.
    • Understand the reputational and legal risks associated with ESG failures.

 

September 22: Integrating ESG into Compliance: Risks, Controls, and Reporting

This two-hour session equips compliance professionals with the tools to integrate ESG into core risk management. It explores the "Three Lines of Defense" model, demonstrating how to allocate responsibilities for effective ESG risk oversight, with a focus on categorizing ESG-related regulatory, reputational, and operational risks, emphasizing their treatment as critical compliance priorities. It also addresses the evolving reporting landscape, introducing the ISSB as the emerging global baseline. It will provide an overview of the convergence of disclosure frameworks and how to prepare for anticipated ESG regulatory developments.

Module 1: Governance Structures for Risk Management

  • Learning Objectives:
    • Explain the "Three Lines of Defense" model and its application to risk management.
    • Apply the model to allocate responsibilities for ESG risk management.

Module 2: ESG as a Core Compliance Risk

  • Learning Objectives:
